Listings & Market Transfers

A listing or market transfer calls for preparation of the company’s legal structure, documentation and working practices. CorpLaw assists with legal review, documentation and coordination of the issues to address before entering a new market environment.

When is advice needed?

  • Ahead of a planned listing of the company’s shares.
  • When considering a transfer to another trading venue.
  • When legal due diligence identifies matters requiring remediation.
  • When preparing disclosure and corporate governance procedures.

How we assist

Preparatory review

Review of the corporate structure, ownership, articles of association, material contracts and previous resolutions. Identification of legal matters that could affect the timetable.

Legal due diligence

Review of corporate matters, contracts, rights, financing and disputes, focusing on issues to disclose or resolve ahead of admission.

Prospectus and documentation

Support with legal sections of a prospectus and other listing documents, including the description of legal risks and corporate matters.

Governance and procedures

Adaptation of governance documents, decision-making and disclosure procedures to the intended market environment.

Questions to resolve early

Choice of market
Trading venues have different rules and requirements. Legal preparation must reflect the intended venue.
Timetable and dependencies
Corporate approvals, reviews, documentation and remedial work need coordination. Decisions by trading venues and other bodies are outside CorpLaw’s control.
Ongoing responsibilities
The board and management must be prepared for disclosure and governance responsibilities after admission to trading.

Questions and answers

Is a market transfer the same as a new listing?

No. The requirements depend on the existing and intended trading venues. Documentation and procedures must be reviewed against the new environment.

Can a listing be guaranteed?

No. Admission and other approvals are decided by the relevant bodies. Our role is to assist with legal preparation.
